Service Agreement

This Service Agreement (the "Agreement") is entered into on Date (the "Effective Date").

1. Parties

The Provider and the Customer are each a "Party" and together the "Parties".

2. Services

2.1 Services

The Provider shall deliver the services described in Schedule 1 (the "Services").

2.2 Standard of Performance

The Services shall be performed with reasonable skill, care, and professional diligence.

2.3 Subcontractors

The Provider may use subcontractors, provided the Provider remains responsible for performance.

3. Term

3.1 Commencement

This Agreement shall commence on the Effective Date.

3.2 Duration

The Agreement shall continue:

• until completion of the Services, or
• for an initial term of Number months/years, automatically renewing unless terminated in accordance with Section 11

4. Fees and Payment
